Lunchtime Seminar in Law: The Model Act on the Société par Actions Simplifiée (SAS) of the Organisation of American States and Colombia

Abstract

Colombia introduced in 2008, at the initiative of Professor Francisco Reyes Villamizar, the Société par actions simplifiée (SAS). It has been a resounding success. The Colombian SAS is inspired by the French SAS but its regime is much more detailled and specialised judges at the Superintendencia de Sociedades are in charge of its interpretation. This success led to the adoption in 2017 of a Model Act by the Organisation of American States (OAS) while several Latin American countries also introduced I the SAS (Argentina and Uruguay). Professor Francisco Reyes Villamizar will present the OAS Model Act with references to the Colombian SAS and will explain the reasons for this success.

Luxembourg introduced in 2018 the SAS and it has experienced a larger success than expected. The presentation by Professor Reyes Villamizar will be followed by a short comparison by Professor Pierre-Henri Conac with the French SAS, which was amended in July 2019, and by Jean-Paul Spang on the Luxembourg SAS.

The presentation by Professor Francisco Reyes Villamizar will provide an opportunity to compare the different approaches and take stock of the situation in Luxembourg
