{"id":7123,"date":"2018-09-13T11:33:46","date_gmt":"2018-09-13T09:33:46","guid":{"rendered":"https:\/\/www.uni.lu\/fr\/events\/dialogue-between-experts-and-practitioners-relating-to-the-mobility-aspects-of-the-eu-commissions-company-law-package-from-25-april-2018\/"},"modified":"2018-09-13T11:33:46","modified_gmt":"2018-09-13T09:33:46","slug":"dialogue-between-experts-and-practitioners-relating-to-the-mobility-aspects-of-the-eu-commissions-company-law-package-from-25-april-2018","status":"publish","type":"events","link":"https:\/\/www.uni.lu\/fr\/events\/dialogue-between-experts-and-practitioners-relating-to-the-mobility-aspects-of-the-eu-commissions-company-law-package-from-25-april-2018\/","title":{"rendered":"Dialogue between experts and practitioners relating to the mobility aspects of the EU Commission\u2019s \u201cCompany Law Package\u201d (from 25 April 2018)"},"content":{"rendered":"<section class=\"wp-block-unilux-blocks-free-section section\"><div class=\"container xl:max-w-screen-xl\"><p><strong>Abstract<\/strong><\/p><p>Last April the EU Commission presented a long awaited \u00ab Company Law Package \u00bb including a Proposal for a Directive containing entirely new provisions relating to cross-border conversions (\u2018CBC\u2019) and cross-border divisions (\u2018CBD\u2019) and amending the previously introduced provisions (originally from 2005) relating to cross-border mergers (\u2018CBM\u2019).<\/p><p>This Proposal follows a long line of decisions of the Court of Justice of the European Union bearing on the various aspects\/issues of companies\u2019 mobility within the European Union (Daily Mail, Centros, \u00dcberseering, Inspire Art, Sevic, Cartesio, Vale and Polbud cases). These decisions made it obvious that there was a need for the Commission to intervene in order to harmonize the procedural aspects of CBM, CBD and CBC along with a number of rules protecting shareholders and stakeholders affected by such transactions. This was partially done for CBM in 2005 but was still awaited for CBC and CBD. Furthermore since a number of years Member States had expressed the need for a reform of the CBM directive, particularly its provisions relating to the protection of minority shareholders. For all transactions concerned the protection of creditors and employees also appear as crucial issues.<\/p><p>As the Commission Proposal contains controversial provisions such as, for instance, the one allowing the \u201ccompetent authority\u201d of the departure state to refuse the issue of the certificate that must accompany the migration of the company (CBC or CBD) when it is deemed to constitute an \u201cartificial arrangement aimed at obtaining undue tax advantages or at unduly prejudicing the legal or contractual rights of employees, creditors or minority members\u201d or raises questions as to the articulation of the regimes newly proposed for the CBC and CBD with the reformed one relating to CBM, Prof. Isabelle Corbisier and Andr\u00e9 Pr\u00fcm propose this afternoon conceived as a \u201cdialogue.\u201d More precisely the above-mentioned experts will introduce the topic shortly from the point of view of their own jurisdiction (Belgium, France, Germany), all neighbours of Luxembourg, and the specific difficulties that they would perceive in the implementation of the new rules. This presentation will be followed by a discussion with the audience.<\/p><p><strong>Link to the Proposal: <\/strong><a href=\"https:\/\/bit.ly\/2N6f2px\" target=\"_self\" title=\"\" rel=\"noopener\">https:\/\/bit.ly\/2N6f2px<\/a><\/p><p><strong>With the participation of:<\/strong><\/p><p>Bartlomiej Kurcz (EU Commission), Alexia Autenne (Universit\u00e9 de Louvain), Steef Bartman (University of Leiden), Werner Haslehner (University of Luxembourg), Alice Navarro (Minist\u00e8re des Finances et des Comptes publics, France), Jessica Schmidt (University of Bayreuth)<\/p><p><strong>Facilitated by:<\/strong><\/p><p>Isabelle Corbisier &#038; Andr\u00e9 Pr\u00fcm (University of Luxembourg)<\/p><p>_____________________________________________<\/p><p><strong>R\u00e9sum\u00e9<\/strong><\/p><p>En avril dernier la Commission europ\u00e9enne a pr\u00e9sent\u00e9 un \u00ab Paquet L\u00e9gislatif sur le Droit des Soci\u00e9t\u00e9s \u00bb comprenant notamment une proposition de directive contenant une r\u00e9glementation enti\u00e8rement nouvelle pour les transformations transfrontali\u00e8res (\u00ab TT \u00bb) et les scissions transfrontali\u00e8res (\u00ab ST \u00bb) et r\u00e9formant les dispositions ant\u00e9rieures (2005) concernant les fusions transfrontali\u00e8res (\u00ab FT \u00bb).<\/p><p>Cette proposition fait suite \u00e0 une longue s\u00e9rie de d\u00e9cisions rendues par la Cour de justice de l\u2019Union Europ\u00e9enne portant sur les questions soulev\u00e9es par la mobilit\u00e9 intra-europ\u00e9enne des soci\u00e9t\u00e9s (affaires Daily Mail, Centros, \u00dcberseering, Inspire Art, Sevic, Cartesio, Vale et Polbud). Ces d\u00e9cisions firent ressortir le caract\u00e8re in\u00e9vitable d\u2019une intervention l\u00e9gislative afin d\u2019harmoniser les aspects proc\u00e9duraux des FT, ST et TT et formuler des r\u00e8gles prot\u00e9geant les associ\u00e9s et parties prenantes affect\u00e9s par ces op\u00e9rations. Ceci fut partiellement r\u00e9alis\u00e9 en 2005 pour les FT mais une telle r\u00e9glementation \u00e9tait toujours attendue pour les ST et TT. En outre des Etats Membres exprimaient le souhait d\u2019une r\u00e9forme de la directive relative aux FT, sp\u00e9cialement en ce qui concerne la protection des associ\u00e9s minoritaires. Enfin et pour toutes les transactions concern\u00e9es, la protection des cr\u00e9anciers et des travailleurs soul\u00e8ve \u00e9galement un certain nombre de questions importantes.<\/p><p>Etant donn\u00e9 que la Proposition contient une s\u00e9rie de dispositions controvers\u00e9es comme, par exemple, celle qui conf\u00e8re \u00e0 l\u2019\u00ab autorit\u00e9 comp\u00e9tente \u00bb le pouvoir de refuser de d\u00e9livrer le certificat pr\u00e9alable \u00e0 la migration de la soci\u00e9t\u00e9 (en cas de TT ou de ST) lorsqu\u2019elle consid\u00e8re que l\u2019op\u00e9ration envisag\u00e9e constitue un \u00ab montage artificiel destin\u00e9 \u00e0 obtenir des avantages fiscaux indus ou \u00e0 porter ind\u00fbment pr\u00e9judice aux droits l\u00e9gaux ou contractuels des travailleurs, des cr\u00e9anciers ou des associ\u00e9s minoritaires \u00bb ou encore soul\u00e8ve des questions quant \u00e0 l\u2019articulation des r\u00e9gimes nouvellement propos\u00e9s pour les TT et ST avec le r\u00e9gime r\u00e9form\u00e9 concernant les FT, les Prof. Corbisier et Pr\u00fcm vous proposent cet apr\u00e8s-midi sous la forme d\u2019un \u00ab dialogue \u00bb. Les experts pr\u00e9cit\u00e9s introduiront bri\u00e8vement la probl\u00e9matique selon la perspective de leur ordre juridique respectif (Belgique, France, Allemagne), et exposeront les difficult\u00e9s per\u00e7ues dans la mise en \u0153uvre de ces r\u00e8gles nouvelles.
